1. Acceptance of Terms Welcome to XBRELE (“we,” “our,” or “us”). These Terms and Conditions govern the sale of switchgear components, transformers, and related products by Yueqing XBRELE Electric Co., Ltd. to you (“Buyer” or “Customer”). By placing an order, requesting a quote, or using our website https://xbrele.com, you agree to be bound by these terms.

2. Products and Specifications All descriptions, images, and technical specifications provided on our website or in catalogs are for general reference only.

  • Customization: As an OEM manufacturer, we produce components based on the specific technical drawings and parameters confirmed in the Proforma Invoice (PI) or Technical Agreement.
  • Modifications: We reserve the right to make minor technical modifications to improve product performance without prior notice, provided such changes do not affect the form, fit, or function of the goods.

3. Quotes and Orders

  • Quotations: Price quotes are valid for 30 days from the date of issue unless stated otherwise. Prices are typically quoted in USD (United States Dollars) on an EXW (Ex Works) or FOB (Free on Board) basis, unless agreed otherwise.
  • Order Acceptance: A purchase order submitted by the Buyer is considered an offer to purchase. The contract is formed only when XBRELE issues a written Order Confirmation or Proforma Invoice.

4. Payment Terms Unless otherwise agreed in writing, our standard payment terms for international orders are:

  • Telegraphic Transfer (T/T): 30% deposit upon order confirmation, and the remaining 70% balance before shipment.
  • Letter of Credit (L/C): Irrevocable L/C at sight may be accepted for orders exceeding a certain value (subject to negotiation).
  • All bank charges and transfer fees incurred outside of China shall be borne by the Buyer.

5. Shipping and Delivery

  • Incoterms: Shipments are governed by Incoterms 2020. Risk of loss or damage to the products passes to the Buyer upon delivery to the carrier (for FOB/CIF) or when made available at our factory (for EXW).
  • Lead Time: Estimated lead times (e.g., 15-30 days) commence from the date the deposit is received. We are not liable for delays caused by force majeure, customs clearance, or carrier delays.

6. Warranty and Defects XBRELE warrants that the products will be free from defects in material and workmanship under normal use.

  • Warranty Period: The standard warranty period is 12 months from the date of bill of lading (B/L), unless a different period is specified in the contract.
  • Remedy: If a product is proven to be defective during the warranty period, our sole obligation is to repair or replace the defective part free of charge. This warranty does not cover damage caused by improper installation, misuse, unauthorized modification, or normal wear and tear.

7. Limitation of Liability To the maximum extent permitted by law, XBRELE shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, downtime, or business interruption) arising out of the sale or use of the products. Our total liability shall not exceed the purchase price of the specific product giving rise to the claim.

8. Intellectual Property All technical drawings, designs, and specifications provided by XBRELE remain our intellectual property. The Buyer shall not reproduce or disclose such information to third parties without our prior written consent. If we manufacture products based on the Buyer’s designs, the Buyer warrants that such designs do not infringe upon any third-party intellectual property rights.

9. Governing Law These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from these terms shall be settled through friendly negotiation; failing which, they shall be submitted to the competent court in Yueqing City, Zhejiang Province.
